1. Introduction
This Legal & Compliance document governs your use of the APIxTradeBot platform (“Platform”), operated by ARUNNITU FORTUITY LLP (“Company”, “we”, “us”, “our”).

By creating an account, subscribing, or using the Platform, you agree to this document in full.
If you do not agree, you must not use the Platform.

2. Eligibility
2.1 You must be at least 18 years of age.
2.2 The Platform currently caters exclusively to residents of India.
2.3 By registering, you confirm:
• You are 18+ years old.
• You are an Indian resident.
• You are legally permitted to trade securities.
• All details provided by you are accurate and verifiable.
2.4 We reserve the right to request documentary proof at any time.

3. Nature of the Platform
3.1 APIxTradeBot is a technology platform that enables users to connect their broker’s API for automated trade execution.
3.2 The Company:
• Does NOT hold client funds.
• Does NOT execute trades independently.
• Does NOT access brokerage accounts without user configuration.
• Does NOT manage client's money.
3.3 The user retains full control over strategy selection, API configuration, trade decisions, trade executions and risk management.

4. 🚨 No Investment Advice
4.1 APIxTradeBot & ARUNNITU FORTUITY LLP does not provide any investment advice or manage your money in any way.

4.2 All trading decisions are made solely by the user.

4.3 We are not registered as:
• Investment Advisors
• Portfolio Managers
• Research Analysts
• SEBI-regulated advisory entities

4.4 We are not responsible for financial losses, what-so-ever.
4.5 The Platform is purely a software interface enabling execution through the user’s chosen broker.

5. Trading Risk Disclosure
5.1 Trading in financial markets involves substantial risk.
5.2 You acknowledge that:
• Automated systems can fail.
• APIs can disconnect.
• Broker systems can reject orders.
• Market volatility can cause losses.
• Slippage may occur.
5.3 Past performance does not guarantee future results.
5.4 The Company shall not be liable for trading losses, missed trades, slippage, broker outages, exchange disruptions, technical errors, or internet failures.
5.5 You accept full responsibility for all trades placed via the Platform.

6. Account Registration & Security
6.1 You must provide accurate and complete information.
6.2 You are responsible for account password security, API key confidentiality, and any activity under your account.
6.3 We are not liable for losses arising from compromised credentials.
6.4 We may suspend accounts suspected of misuse or fraud.

7. Subscription & Billing
7.1 Certain features require a paid subscription.
7.2 Subscription plans may include Monthly or Yearly options.
7.3 Payments are processed via third-party gateways (e.g., Razorpay).
7.4 By subscribing, you authorize recurring charges (if applicable).
7.5 Subscription fees may change with prior notice.
7.6 Non-payment may result in suspension.

8. Trial Policy
8.1 Trial access may be offered at our discretion.
8.2 Only one trial per user is permitted.
8.3 The Company may withdraw trial access at any time.

9. Refund Policy
9.1 All subscription payments are non-refundable unless explicitly stated.
9.2 Refunds will not be issued for trading losses, partial usage, failure to cancel before renewal, or dissatisfaction with strategy performance.
9.3 Any exception shall be at the sole discretion of ARUNNITU FORTUITY LLP.

10. Acceptable Use
Users shall not reverse engineer the platform, attempt unauthorized access, disrupt system integrity, or use the platform for illegal trading activities.
Violation may result in immediate termination.

11. Intellectual Property
All software, branding, algorithms, and content belong exclusively to ARUNNITU FORTUITY LLP.
You may not copy, redistribute, or reproduce any part without written permission.

12. Privacy Policy
We collect: Full name, Email, Phone number, Date of birth, Subscription information.
We use data for account creation, service delivery, security monitoring, billing management, and legal compliance.
We do NOT sell personal data.
We may share information with payment processors, when legally required, or to prevent fraud or abuse.
We implement reasonable safeguards, but no system is 100% secure.
Users are responsible for protecting their API credentials.

13. Suspension & Termination
We may suspend or terminate accounts if terms are violated, fraud is detected, payment fails, or legal risk arises.
Termination does not entitle refund.

14. Limitation of Liability
To the maximum extent permitted by law, ARUNNITU FORTUITY LLP shall not be liable for direct or indirect trading losses, loss of profits, data loss, business interruption, API failures, broker-side issues, or system downtime.
Liability, if any, shall not exceed subscription fees paid in the previous three (3) months.

15. Indemnification
You agree to indemnify and hold harmless ARUNNITU FORTUITY LLP against claims, damages, or legal costs arising from your trading activity, violation of these Terms, or misuse of the Platform.

16. Governing Law & Jurisdiction
This Agreement is governed by the laws of India.
Courts in [Pune, India] shall have exclusive jurisdiction.
Disputes may be resolved via arbitration under the Arbitration & Conciliation Act, 1996.
